Actualog User Agreement (B2B SaaS)

This User Agreement (“Agreement”) governs access to and use of the Actualog website and platform (the “Service”). The Service is a B2B SaaS product hosted in Microsoft Azure.

If you do not agree to this Agreement, do not create an account, do not click “Register / Join”, and do not use the Service.


1) Our mission and what Actualog is

The mission of Actualog is to help businesses worldwide—regardless of size—benefit from best practices in Product Information Management (PIM).

Actualog is built around a shared Product Classifier (the “Classifier”): a structured system of product categories and attributes that defines how industrial product data is described, validated, and made comparable.

The Expert Community contributes to and maintains the Classifier by proposing, refining, and governing categories, attributes, and terminology. Companies and organizations use the Classifier to publish and exchange product information, while Actualog supports data quality, uniqueness, and completeness of product records.


2) Definitions

  • “You” / “User”: the individual using the Service.
  • “Company Workspace”: a company’s operational area in Actualog (products, catalogs, imports, data assets, users, etc.).
  • “Customer”: the company or legal entity that owns a Company Workspace.
  • “Community”: an industry/domain space used for discovery, shared structures, and expert collaboration.
  • “Classifier Contributions”: content submitted to the Expert Community intended to improve the shared Classifier (e.g., category/attribute names, definitions, descriptions, synonyms, structure, and related discussions).
  • “Customer Data”: data uploaded or created in a Company Workspace (e.g., products, catalogs, documents, imports, integrations) by a Customer or its authorized users.

3) Who is bound by this Agreement

3.1 Individual agreement

This Agreement applies to you as an individual, even if you use the Service on behalf of a company.

3.2 Company use

If you use the Service on behalf of a company or other legal entity, you represent that you are authorized to do so. Your company may also have a separate contract with us. However, you remain individually responsible for your actions and compliance with this Agreement.


4) Eligibility and account registration

4.1 Registration options

You may register using email/password or supported sign-in providers. Your login is your email address.

4.2 Accurate identity and professionalism

Because Actualog is a professional network and governance-driven PIM environment, you agree to:

  • provide accurate account and profile information,
  • use your real name (or a professional name your employer recognizes),
  • keep your profile up to date.

Misleading identity, qualifications, affiliations, or achievements harms trust and data quality and may result in account restrictions.

4.3 Account security

You are responsible for safeguarding your credentials and all actions taken under your account until you notify us of a compromise and we can reasonably confirm it.

You must not:

  • share your account credentials,
  • use another user’s account,
  • sell, transfer, or sublicense your account.

5) Acceptable use (professional use only)

Actualog is intended for creating, maintaining, publishing, and exchanging reliable product information.

You agree not to:

  • use the Service for harassment, abuse, or shock content,
  • post spam or deceptive content,
  • post advertisements in community discussions/comments (except approved partner sponsorship formats such as sponsored logos in sponsored categories),
  • upload malware or attempt to disrupt the Service,
  • attempt to bypass security or access controls,
  • scrape, crawl, or systematically extract content from the Service (except via approved export, embed features, and APIs),
  • reverse engineer, decompile, or attempt to discover source code, algorithms, or data models except where permitted by law.

We may suspend or terminate access for violations.


6) Your content and ownership

Actualog includes both shared community governance content and company workspace content. These are treated differently.

6.1 Classifier Contributions (Expert Community content)

You retain any ownership you may have in your original Classifier Contributions. However, by submitting Classifier Contributions you grant Actualog a:

non-exclusive, irrevocable, worldwide, perpetual, transferable, sublicensable, royalty-free license to use, host, store, reproduce, modify, create derivative works, publish, translate, distribute, and display those contributions for the operation, improvement, and governance of the Classifier and the Service.

Why this is irrevocable: the Classifier is a shared governance asset used by many organizations. Deleting or retracting contributions can break integrity, auditability, and compatibility.

Deletion policy for Classifier Contributions: You acknowledge that you may not request deletion of Classifier Contributions that have been accepted into shared structures. We may, at our discretion:

  • correct, edit, or deprecate contributions,
  • remove content that violates this Agreement or applicable law,
  • anonymize attribution where appropriate (e.g., account closure), while preserving the Classifier history.

6.2 Customer Data (Company Workspace content)

Customer Data is typically owned and controlled by the Customer (your company). How Customer Data is accessed, exported, retained, or deleted is governed by:

  • Customer workspace permissions,
  • the Customer’s instructions,
  • and any separate Customer contract and/or Data Processing Addendum (if applicable).

If you are a User in a Company Workspace, you acknowledge that:

  • your workspace admins may access data and logs as permitted by their roles,
  • your activity may be recorded for audit and governance purposes within the workspace.

6.3 Confidentiality and sensitive information

Do not submit confidential information into public communities, public catalogs, or any area not intended for restricted sharing. You are responsible for ensuring the content you upload is appropriate for the visibility settings you choose.


7) Content visibility and communications

  • Some content is public or community-visible by design (e.g., parts of the Classifier and public catalogs).
  • Some areas support privacy controls (e.g., certain profile elements, workspace-private content, private catalogs).
  • Messages may be treated as private by the platform, but you should still act professionally and avoid sharing secrets unless you are certain the context is correct.

8) Data quality, governance, and conduct

Actualog prioritizes data quality and professional collaboration. You agree to:

  • contribute accurate information to the best of your knowledge,
  • avoid intentionally misleading edits,
  • respect governance practices and review processes,
  • avoid disruptive behavior in discussions and moderation workflows.

We may implement quality controls, validation, review workflows, and role-based permissions to protect integrity.


9) Fees, plans, and subscriptions (if applicable)

Some features may be paid and subject to plan limits. If you purchase a subscription on behalf of a Customer:

  • fees are billed as described at purchase time,
  • taxes may apply,
  • refunds and cancellation terms follow the applicable plan terms and any separate Customer agreement.

10) Suspension and termination

We may suspend or terminate your account if:

  • you violate this Agreement or applicable law,
  • your activity threatens the security or integrity of the Service,
  • required by legal process.

You may stop using the Service at any time. If you close your account:

  • public/governance integrity may require that Classifier Contributions remain available as part of the shared Classifier history (possibly with anonymized attribution),
  • workspace data handling depends on the Customer’s policies and agreements.

11) Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

Actualog is a platform for managing and sharing product information. You remain responsible for:

  • verifying technical suitability and compliance of products,
  • ensuring your own legal, regulatory, and procurement requirements are met.

12) Limitation of liability

To the maximum extent permitted by law:

  • we are not liable for indirect, incidental, special, consequential, or punitive damages,
  • our total liability for claims relating to the Service is limited to the amount paid by the Customer for the Service in the applicable period 12 months — unless a separate Customer contract states otherwise.

Some jurisdictions do not allow certain limitations; in that case, limitations apply to the extent permitted.


13) Indemnity (User responsibility)

You agree to indemnify and hold Actualog harmless from claims arising out of:

  • your unlawful use of the Service,
  • content you submit that infringes third-party rights,
  • your breach of this Agreement.

14) Changes to this Agreement

We may update this Agreement to reflect product, security, legal, or operational changes. If changes are material, we will take reasonable steps to provide notice (e.g., in-app notice). Continued use of the Service after the effective date means you accept the updated Agreement.


15) Governing law and dispute resolution

Governing law: US

If you are using the Service on behalf of a Customer with a separate agreement, that agreement may govern disputes for the Customer relationship while this Agreement continues to govern your individual use.
